Important Information for Westfield Corporation Limited (ASX: WFD) shareholders

On Tuesday 29 May 2018, Westfield Corporation Limited (ASX: WFD) received court approval for the proposed scheme of arrangement under which Unibail-Rodamco will acquire all shares in Westfield Corporation.

Details of the offer:

  • Unibail-Rodamco will acquire all the securities of Westfield Corporation (ASX: WFD) for US$2.67 cash and 0.01844 New Unibail-Rodamco stapled shares per Westfield security held, which will be issued in the form of Unibail-Rodamco-Westfield CDIs^ (ASX: URW). Shareholders will receive 20 new Unibail-Rodamco-Westfield CDIs for each stapled share they are entitled to receive (fractional units of stapled shares will being rounded down to the nearest whole number prior to allocation of CDIs).
  • Westfield will also simultaneously demerge OneMarket Limited (ASX: OMN) on the basis of one OneMarket share for every 20 Westfield securities held (with fractional units being rounded up to nearest whole number).
